This Senior Corporate Counsel role will serve as the primary legal resource for Ciena’s global supply chain, procurement and sourcing operations. In managing a team of contract and support professionals, this role will be responsible for providing advice and support on a wide range of legal and business matters relating to the development and manufacture of Ciena’s products; the operations to bring those products to market; and the sourcing of goods, services and software across functions and geographies around the world. The individual will participate on the leadership team of Ciena’s supply chain management organization, and will serve as an important member of Ciena’s award-winning Legal Department. SPECIFIC RESPONSIBILITIES: Serve on the leadership team of Ciena’s global supply chain management organization and assist in developing and implementing its strategy and governance as well as assisting with the management of its operations Independently oversee, manage and provide legal advice and support for commercial activities and transactions relating to Ciena’s direct and indirect procurement and supply chain operations Proactively propose and implement improvements to drive transformation, including enhancements to tools, processes, reporting, staffing and alignment that promote efficiency and enable scaling of the business Represent the Legal Department and collaborate with cross-functional teams in support of complex, enterprise-wide procurement initiatives to adopt sourcing best practices and controls, manage third-party risk and support project and change management Manage a team of contract and support professionals, including providing development and training opportunities, as well as guidance and mentoring Draft, negotiate and structure a wide range of commercial and technology agreements with third-party suppliers and vendors, including: Component purchase and inventory management agreements Contract manufacturing agreements Software and technology licensing and development agreements Services and consulting agreements Industry, government and academia consortia and funding agreements Human resources, benefits, staffing and recruiting agreements Manage supply-side legal operations and processes, including template agreements, playbooks and back-off positions, supply contract database and contract activity monitoring and metrics. Provide strategic and practical legal advice and subject matter expertise on a range of relevant supply-side legal, regulatory and operational matters, including: Security of supply Supplier risk management on corruption and anti-bribery matters Information security and data privacy Corporate social responsibility Procurement policies and procedures Homologation, trade compliance and related regulatory matters EDUCATION AND EXPERIENCE: Degree in Law (JD / LLB) from an accredited law school Member in good standing of at least one state or provincial bar association Minimum seven years of experience with a law firm and/or corporate legal department in support of a technology-related business is required (at least three years with a corporate legal department supporting supply chain/procurement) Significant experience drafting and negotiating a wide range of commercial and technology agreements Experience in supporting and partnering with procurement and supply chain leadership on transformational initiatives that drive business outcomes Ability to advise and counsel business groups on legal issues related to technology transactions CANDIDATE PROFILE: Decisive, practical and business-minded Strategic thinker able to develop solutions to complex challenges Ability to work in a fast-paced environment with minimal supervision Capable of building strong relationships with and influencing client groups Good business judgment and sound decision-making in balancing risk, opportunity and business objectives Leadership capability or management experience with the ability to address development, training, continuous learning, and succession planning for the team Strong oral and written communication and interpersonal / relationship-building skills Ability to provide timely and effective legal and business advice across a wide range of novel legal and business matters Detail-oriented, thorough and thoughtful Strong project management skills, able to direct and implement multiple concurrent projects and manage competing priorities
